Applicable terms

1. Ovyka (www.ovyka.com) is the Publisher of the Marketplace Product and provides it through the Atlassian Marketplace. For the use of the Marketplace Product these Terms of Use are applicable. If you are agreeing to these Terms of Use on behalf of a company or other organization, you represent that you have the authority to bind that company or organization to these Terms of Use, and the terms « you » and « your » will refer to that company or organization. If you do not have that authority, or if you do not agree with these Terms of Use, you may not use the Marketplace Product.
2. The Publisher grants you a limited, worldwide, non-exclusive, non-transferable and non-sublicensable license to download and use the Marketplace Product only on hardware systems owned, leased or controlled by you.
3. You may not modify, reverse engineer, decompile or disassemble the Marketplace Product in whole or in part, or create any derivative works from or sublicense any rights in the Marketplace Product, unless otherwise expressly authorized in writing by Publisher.
4. The Marketplace Product is protected by copyright and other intellectual property laws and treaties. Unless otherwise expressly stated in writing by Publisher, Publisher or its licensors own all title, copyright and other intellectual property rights in the Marketplace Product, and the Marketplace Product is licensed to you directly by the Publisher, not sold.
5. Disclaimer of Warranty: Unless required by applicable law or agreed to in writing, the Publisher provides the Marketplace Product on an « AS IS » BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are solely responsible for determining the appropriateness of using the Marketplace Product and assume any risks associated with your exercise of permissions under this Terms of Use.
6. Limitation of Liability: In no event and under no legal theory, whether in tort (including negligence), contract, or otherwise, unless required by applicable law (such as deliberate and grossly negligent acts) or agreed to in writing, shall the Publisher be liable to You for damages, including any direct, indirect, special, incidental, or consequential damages of any character arising as a result of this License or out of the use or inability to use the Work (including but not limited to damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses), even if such the Publisher has been advised of the possibility of such damages
7. The law of France applies. The standard UN Convention on Contracts for the International Sale of Goods (CISG) is excluded, unless the protection granted by mandatory provisions of the law of the country in which you have your habitual residence is withdrawn. If you are a business person, legal person under public law or a fund under public law, the sole place of jurisdiction for all disputes arising from these Terms of Use is Paris, France.
